Terms of Service for Nordlyd Voice Studio

1. Introduction and Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the services provided by Nordlyd Voice Studio, a voice-studio business located at Torggata 15, 0181 Oslo, Norway ("Nordlyd Voice Studio", "we", "us", or "our"). By requesting, booking, purchasing, or using any of our services, you agree to be bound by these Terms.

If you do not agree to these Terms, you must not use our services. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.

2. Scope of Services

Nordlyd Voice Studio provides professional audio and voice production services, which may include, without limitation:

• Profesjonell voice-over opptak
• Podcastinnspilling og redigering
• Reklame- og kampanjestemmer
• E-læring og opplæringslyd
• Lydredigering og mastering
• Manusveiledning for stemmeopptak

We may provide services in-studio, remotely, or through a combination of both, depending on the project requirements and availability. Any deliverables, timelines, technical specifications, usage rights, and revision limits may be defined in a separate quotation, order confirmation, or written agreement.

3. User Obligations and Responsibilities

You agree to:

• Provide accurate, complete, and timely information necessary for us to perform the services.
• Ensure that all scripts, materials, references, and instructions supplied to us are lawful and do not infringe third-party rights.
• Obtain all necessary permissions, licenses, consents, and clearances for any content you provide or request us to use.
• Review and approve deliverables promptly, and notify us of any requested changes within the agreed review period.
• Use our services only for lawful purposes and in compliance with applicable laws and regulations.
• Not request content that is defamatory, unlawful, discriminatory, misleading, or otherwise inappropriate.

You are responsible for the final use of any audio files, recordings, scripts, or other materials delivered by Nordlyd Voice Studio, unless otherwise agreed in writing.

4. Payment Terms and Conditions

Unless otherwise agreed in writing, all prices are quoted in Norwegian kroner (NOK) and may be subject to applicable taxes, including VAT where required by law.

• Invoices are payable within the period stated on the invoice or order confirmation.
• We may require advance payment, a deposit, or partial milestone payments before commencing work.
• Late payments may result in suspension of services, delayed delivery, and/or statutory default interest and collection costs to the extent permitted by Norwegian law.
• Any additional work, rush delivery, extra revisions, or changes to the agreed scope may incur additional charges.
• Bank transfer fees, currency conversion costs, and payment processor fees, if any, are your responsibility unless otherwise agreed.

We reserve the right to withhold final deliverables until all outstanding amounts have been paid in full.

5. Cancellation and Refund Policy

Cancellations must be made in writing by email to [email protected]. The following rules apply unless a separate written agreement states otherwise:

• If you cancel a booking before work has started, any refund will depend on whether a deposit has been used to reserve studio time, personnel, or resources.
• If work has already commenced, you may be charged for all work performed, preparation time, booked studio time, and non-recoverable costs.
• Custom-made services, completed recordings, edited files, and other personalized deliverables are generally non-refundable once delivered or approved, except where mandatory law requires otherwise.
• If we must cancel or materially reschedule a service due to reasons within our control, we will use reasonable efforts to offer a new time or provide a refund for the affected portion of the service, as appropriate.

Any refund, where applicable, will be processed using the original payment method unless otherwise agreed.

6. Liability Limitations

To the fullest extent permitted by applicable law, Nordlyd Voice Studio shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profit, loss of business, loss of data, or reputational harm, arising out of or in connection with the services.

Our total aggregate liability for any claim arising from or relating to the services shall be limited to the amount paid by you for the specific service giving rise to the claim, except where liability cannot be limited under mandatory law.

We are not responsible for delays or failures caused by inaccurate instructions, defective source materials, third-party equipment or platforms, internet outages, or your failure to cooperate in a timely manner.

Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by law, including liability for gross negligence, wilful misconduct, or other non-excludable obligations under Norwegian law.

7. Intellectual Property Rights

Unless otherwise agreed in writing, Nordlyd Voice Studio retains all rights, title, and interest in our pre-existing materials, workflows, templates, methods, know-how, and studio assets.

Upon full payment, and subject to any separate agreement, you receive a non-exclusive, non-transferable right to use the final deliverables for the purpose and territory agreed in the quotation, order confirmation, or written contract.

• Raw session files, project files, and working materials remain our property unless expressly transferred in writing.
• You may not resell, sublicense, edit for a new purpose, or otherwise exploit deliverables beyond the agreed scope without our prior written consent.
• You warrant that any materials you provide do not infringe third-party intellectual property rights.
• If a project includes third-party music, sound effects, stock assets, or licensed content, the applicable license terms may impose additional restrictions.

8. Data Protection and Privacy

We process personal data in accordance with applicable Norwegian and EEA data protection laws, including the General Data Protection Regulation (GDPR) where applicable.

We may collect and process personal data such as names, contact details, billing information, project communications, and technical metadata necessary to provide our services, manage customer relationships, comply with legal obligations, and protect our legitimate interests.

• We will only process personal data for lawful purposes and on an appropriate legal basis.
• We may retain records for as long as necessary for contractual, legal, accounting, or operational purposes.
• Where we act as a data processor for your content or recordings, additional data processing terms may apply.
• You are responsible for ensuring that any personal data you provide to us has been collected and shared lawfully.

9. Force Majeure

Nordlyd Voice Studio shall not be liable for any delay or failure to perform its obligations where such delay or failure results from events beyond our reasonable control, including but not limited to fire, flood, power failure, equipment failure, internet disruption, illness, labor disputes, acts of government, war, terrorism, epidemic, pandemic, or other force majeure events.

If a force majeure event occurs, we will use reasonable efforts to mitigate its effects and resume performance as soon as reasonably practicable.

10. Changes to Terms

We may update or modify these Terms from time to time to reflect changes in our services, legal requirements, or business practices. The updated Terms will take effect when published or on a later date stated by us.

Continued use of our services after the effective date of revised Terms constitutes acceptance of the updated Terms. If you do not agree to the revised Terms, you must stop using our services.

11. Applicable Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Norway, without regard to conflict of law principles.

Any dispute arising out of or in connection with these Terms or the services shall, to the extent permitted by law, be subject to the exclusive jurisdiction of the competent courts in Oslo, Norway.

13. Severability Clause

If any provision of these Terms is found to be invalid, unlawful, or unenforceable by a competent court or authority, that provision shall be enforced to the maximum extent permitted by law, and the remaining provisions shall remain in full force and effect.

If necessary, the invalid or unenforceable provision shall be replaced by a valid provision that most closely reflects the original intent and commercial purpose of the affected provision.
